OrangeX – Global P2P USDT Marketplace

1. Introduction

These Terms of Use ("Terms") govern your access to and use of the OrangeX platform (the “Platform”), operated by OrangeX (“Company,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

OrangeX provides a peer-to-peer (P2P) marketplace that facilitates the exchange of USDT (Tether) between users. OrangeX is not a counterparty to transactions and does not act as a bank, broker, investment advisor, or custodian.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years old

• Have full legal capacity under applicable law

• Not be located in or a resident of any sanctioned jurisdiction

• Not be listed on any sanctions list (e.g., OFAC, UN, EU)

• Successfully complete KYC verification when required

We reserve the right to deny or terminate access at our sole discretion.

3. Account Registration

Users must:

• Provide accurate and complete information

• Maintain confidentiality of login credentials

• Immediately notify us of unauthorized access

You are solely responsible for activities conducted through your account.

4. Description of Services

OrangeX provides:

• A P2P order matching interface

• Escrow locking mechanism for USDT

• In-platform chat system

• Dispute mediation support

OrangeX does NOT:

• Guarantee transaction completion

• Guarantee payment performance

• Provide investment advice

• Control fiat transfers between users

All trades are conducted directly between users.

5. Escrow Mechanism

When a trade is initiated:

1. Seller’s USDT is locked in escrow.

2. Buyer transfers fiat payment to seller.

3. Upon confirmation, USDT is released.

If a dispute arises, OrangeX may temporarily freeze escrowed assets pending review.

OrangeX reserves sole discretion in dispute resolution decisions.

6. Fees

The Company may charge transaction fees.
All applicable fees will be disclosed prior to trade confirmation.

Fees are non-refundable unless otherwise stated.

7. User Obligations

You agree NOT to:

• Engage in money laundering

• Conduct fraudulent activities

• Use stolen payment methods

• Manipulate the market

• Use bots or automated systems

• Violate local or international laws

Violation may result in:

• Immediate account suspension

• Asset freeze

• Reporting to authorities

8. Compliance & AML

OrangeX implements:

• Know Your Customer (KYC) procedures

• Anti-Money Laundering (AML) monitoring

• Transaction screening

• Suspicious activity reporting

We may request additional verification documents at any time.

Failure to comply may result in account restriction.

9. Risk Disclosure

Digital asset trading involves substantial risks, including:

• Market volatility

• Regulatory uncertainty

• Counterparty risk

• Technical failure risk

• Payment fraud risk

OrangeX does not guarantee profit or protection from loss.

You assume full responsibility for your trading decisions.

10. Dispute Resolution

Users should first attempt to resolve disputes directly via platform chat.

If unresolved, OrangeX may:

• Review transaction evidence

• Request payment proof

• Issue a final escrow release decision

Our decision shall be final and binding within the Platform.

11. Limitation of Liability

To the maximum extent permitted by law:

OrangeX shall not be liable for:

• Loss of profits

• Indirect damages

• Fiat transfer failures

• User misconduct

• Regulatory changes

• Blockchain network failures

Total liability shall not exceed the fees paid to OrangeX in the last 3 months.

12. Indemnification

You agree to indemnify and hold harmless OrangeX from claims arising from:

• Your violation of these Terms

• Your unlawful activities

• Disputes with other users

13. Account Suspension & Termination

We may suspend or terminate your account if:

• You violate these Terms

• You fail KYC verification

• Suspicious activity is detected

• Required by law enforcement

Escrowed assets may be frozen during investigation.

14. Intellectual Property

All platform content, branding, software, and materials are the property of OrangeX.

You may not copy, distribute, or reverse engineer the Platform.

15. Privacy

Use of the Platform is subject to our Privacy Policy.

We may collect, store, and process personal data for compliance and security purposes.

16. Regulatory Status

OrangeX operates as a P2P marketplace facilitator.

OrangeX is not:

• A bank

• A securities exchange

• A licensed broker-dealer

• An investment advisor

Users are responsible for complying with local laws in their jurisdiction.

17. Force Majeure

OrangeX shall not be liable for events beyond its control, including:

• Natural disasters

• Government actions

• Internet disruptions

• Blockchain network congestion

• Cyber attacks

18. Governing Law & Jurisdiction

These Terms shall be governed by the laws of [Insert Jurisdiction].
